Tech Vendor Participation Agreement

This Tech Vendor Participation Agreement (the “Agreement”) is entered into between LearnHow Blue LLC (“Company”) and the entity registering as a Technology Vendor (“Vendor”). By integrating with the LearnHow Blue ecosystem, Vendor agrees to the following terms:


1. The Ecosystem Objective

LearnHow Blue is building a patent-pending reskilling ecosystem designed to convert Vendor’s technical manuals into mobile-ready video courses via our AI Career System (AICS). The goal is to create a pool of Verified Talent certified on Vendor’s specific technology, which is then made visible to Corporations through the Talent Connect Dashboard.

 

2. Commission & Referral Structure

At this time, LearnHow Blue offers one (1) unified commission tier for all participating Tech Vendors:

  • Referral Commission: Vendor shall receive 30% of all gross revenue generated by Job Seekers who register for LearnHow Blue services through the Vendor’s unique affiliate tracking link.
  • Attribution: Commission is tracked via the Company’s affiliate software. To ensure proper attribution, Job Seekers must complete their registration using the Vendor-specific link.
  • Payment: Commissions are calculated monthly and paid within 30 days of the close of the calendar month, provided the balance exceeds the minimum payout threshold.

 

3. Course Conversion & Intellectual Property

  • AICS Integration: Vendor grants Company a non-exclusive, worldwide license to convert two Vendor’s technical manuals, documentation, and brand assets for free, solely for the purpose of creating AICS-produced training modules. Thereafter, the cost is $5000 per course. If the course is not for sale, Tech Vendors can purchase individual course licenses in bulk of 100 units for $25 each. Tech Vendors can sell courses through LearnHow Blue and retain 65% of the profits minus any processing fees. Users will be able to retake the certification course up to 2 times at no addition fees. If the user (Job Seeker) fails after two attempts, user understands they will be rebilled 50% of the listed course fee where the tvv will receive 65% minus processing fees. All courses must be verified and approved by the Tech Vendor or their appointed person before any course goes live. LearnHow Blue is NOT RESPONSIBLE for content of any course.
  • Ownership: Vendor retains all intellectual property rights to its original technical manuals. Company retains all rights to the AICS proprietary conversion process and the resulting video course format. LearnHow Blue agrees not to sell or distribute a course to anyone other than that specific Tech Vendor.
  • Accuracy: Vendor is responsible for reviewing AICS-produced content for technical accuracy prior to its release to the BlueCOMMUNITY.

 

4. Scholarship & Community Engagement

  • Scholarship Option: Vendor may, at its discretion, offer scholarships (discounts) to members of the BluePro and BlueELITE tiers.
  • The 48-Hour Activation Rule: If Vendor provides a “Flash Scholarship” (e.g., $X off a course), the Job Seeker must activate the course within 48 hours. If not activated, the scholarship is automatically revoked and returned to the Community Board for other members.

 

5. Certification & The 80% Rule

  • Standard of Excellence: Vendor acknowledges that LearnHow Blue enforces a strict 80% passing grade for all certifications.
  • Vetting: This standard ensures that the talent associated with the Vendor’s brand meets corporate expectations for “Designated Driver” competency.

 

6. Marketing & Promotion

  • Cross-Promotion: Vendor agrees to promote the LearnHow Blue certification pathway through its existing marketing channels, including but not limited to YouTube, LinkedIn, and email newsletters.
  • Brand Usage: Company may feature Vendor’s logo on its “Partner Landing Pages” to signal to Job Seekers and Corporations that the training is Vendor-vetted.

 

7. Termination

Either party may terminate this agreement with 30 days’ written notice. Upon termination, Company will cease the sale of new course enrollments for Vendor’s tech, but existing students shall be permitted to complete their current certification track.

 

8.Limitation of Liability

LearnHow Blue LLC provides the platform and conversion tools “as is.” Company is not liable for the actual hiring decisions made by third-party Corporations or the individual performance of Job Seekers in the field.

He immediately hit the "Traditional Wall":

This provided the critical breathing room to keep his mortgage current and his family fed while he prepared for the technical transition.

Phase 2: The Training (The AICS Quiz Simulator)

While the Referral Program kept his bills paid, once a new tech vendor came online, Marcus was able to see a video of what the tech vendor’s system focused on, and was able to sign up for their course at the price the vendor decided to charge.  The AICS (AI Career System) generated the course.  Once approved by the tech vendor, it went live.

  • Manual-to-Mobile Conversion: Marcus didn’t have to go to a classroom or read 500-page PDFs. The AICS technology took the complex Technical Manuals from the new tech vendors and converted them into a high-speed, mobile-ready online call, complete with the  Quiz Simulator.
  • Active Learning: Marcus spent his downtime on his phone, moving from learning to the quiz simulator. It turned dry technical data into an interactive, competitive experience. He wasn’t just “reading” about new AI-integrated warehouse systems; he was mastering them through the AICS conversion.
  • Building the Proof: Every time Marcus passed a module in the Quiz Simulator, the system logged his progress. He was building the knowledge on how to pass the final Certification Test, based on his performance in the simulator—Once he passed with a  score of 80% or more, he is now considered a Certified Tech on this tech vendor’s system, where licensed corporations can view them directly.

Because Marcus stayed engaged in the community and helped refine the AICS logic, he is no longer a stranger “applying” for a job.

  • When the Kickstarter hits its goal and the Tech Vendors officially onboard, Marcus is at the front of the line.
